1. Agreement to Terms

By accessing or using Vescur ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this Platform.

2. Platform Description and Role

2.1 Technology Platform Only

Vescur is a technology platform that facilitates escrow services, digital agreements, and payment processing between clients and freelancers. We are NOT a party to any agreements, contracts, or transactions between users.

2.2 No Legal, Financial, or Professional Advice

Vescur does not provide legal, financial, tax, or professional advice. Users are solely responsible for seeking appropriate professional counsel for their specific circumstances.

2.3 Independent Contractor Relationship

All relationships between clients and freelancers are independent contractor relationships. Vescur has no control over and does not guarantee the quality, safety, or legality of services provided, the truth or accuracy of user content, or the ability of users to perform their obligations.

3. User Accounts and Responsibilities

3.1 Account Creation

You must be at least 18 years old to use this Platform. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 KYC and Compliance

Users must complete Know Your Customer (KYC) verification by providing valid government-issued identification and bank details. Failure to complete KYC may result in account suspension and withholding of funds until verification is completed.

4. Escrow Services

4.1 Escrow Payment Processing

Vescur provides escrow services through Razorpay payment gateway. When a client makes a payment, funds are securely held in escrow until both parties (client and freelancer) confirm that the agreed-upon work has been completed satisfactorily or until a dispute is resolved. All transactions are processed through Razorpay's secure payment infrastructure.

4.2 Release of Funds

Funds held in escrow will be released to the freelancer only when BOTH parties approve the milestone completion. If either party disputes the completion, the funds remain in escrow until the dispute is resolved. All fund releases are processed through Razorpay's payout system.

4.3 Escrow Hold Period

Vescur may hold funds in escrow for up to 180 days for disputed transactions. After this period, if no resolution is reached, funds may be returned to the client minus any applicable fees.

4.4 No Interest on Escrow Funds

Funds held in escrow do not earn interest. Vescur is not responsible for any investment returns or opportunity costs related to escrowed funds.

5. Fees and Payments

5.1 Platform Fees

Vescur charges transaction fees as displayed on the Platform at the time of transaction. These fees are non-refundable and are deducted from payments processed through the Platform.

5.2 Payment Processing

All payments are processed through Razorpay payment gateway. By using the Platform, you agree to the terms and conditions of Razorpay's services. Vescur is not responsible for any issues arising from Razorpay's payment processing services.

5.3 Chargebacks and Reversals

Users who initiate unauthorized chargebacks may have their accounts suspended or terminated. Vescur reserves the right to recover chargeback fees and damages.

6. Dispute Resolution

6.1 Dispute Process

If a dispute arises between parties, users must first attempt to resolve it through the Platform's dispute resolution system. Vescur will review submitted evidence and make a determination based on the information provided.

6.2 Final Decision

Vescur's decision in disputes is final and binding. Users agree to accept Vescur's determination regarding the release or return of escrowed funds.

6.3 Limitation on Disputes

Vescur has no obligation to mediate, arbitrate, or otherwise resolve disputes between users. Our dispute resolution service is provided as a courtesy and may be modified or discontinued at any time.

7. Limitation of Liability

IMPORTANT: PLEASE READ CAREFULLY

7.1 No Liability for User Actions

VESCUR IS NOT LIABLE FOR ANY ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.

7.2 Service Quality

VESCUR MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE QUALITY, SAFETY, OR LEGALITY OF SERVICES PROVIDED BY FREELANCERS OR THE TRUTH OR ACCURACY OF USER CONTENT ON THE PLATFORM.

7.3 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESCUR'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO VESCUR IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

7.4 Indirect Damages

VESCUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vescur and its officers, directors, employees, agents, and affiliates from any claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your agreements or disputes with other users
• Any content you submit or transmit through the Platform

9. Prohibited Activities

You agree NOT to:

• Use the Platform for any illegal purposes or to violate any laws
• Engage in fraudulent transactions or money laundering
• Provide false or misleading information
• Circumvent the Platform's payment or escrow systems
• Harass, abuse, or harm other users
• Interfere with the Platform's operation or security
• Use automated systems to access the Platform without authorization
• Create multiple accounts to manipulate the system

10. Account Suspension and Termination

10.1 Our Right to Terminate

Vescur reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms, suspected fraudulent activity, or risk to the Platform or other users.

10.2 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. Vescur may withhold funds in disputed transactions or accounts under investigation until resolution.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in [Your Jurisdiction] for resolution of any disputes.

12. Modifications to Terms

Vescur reserves the right to modify these Terms at any time. We will notify users of material changes by email or through the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
